2. Client Agreements
When you hire Jia Web Services LLC for services, the project may be governed by a separate proposal, quote, statement of work, service agreement, invoice, or other written agreement.
If there is a conflict between these Website Terms and a separate written agreement signed or accepted by both Jia Web Services LLC and the client, the terms of the specific client agreement will generally control for that project.
3. Project Scope and Changes
Website projects are developed according to the agreed scope of work.
Requests that fall outside the original project scope may require additional fees, additional time, or a separate agreement.
Changes to a project may include, but are not limited to:
- Additional pages
- Additional functionality
- Additional revisions
- New integrations
- Significant design changes
- New content or features
- Changes requested after approval of completed work
We will communicate additional charges or changes in scope when reasonably necessary.
4. Client Responsibilities
Clients are responsible for providing information, content, images, logos, access credentials, approvals, and other materials reasonably necessary to complete their project.
Clients are responsible for ensuring that the materials they provide to Jia Web Services LLC:
- Are accurate and lawful
- Do not infringe another person’s intellectual property rights
- Do not violate applicable laws or regulations
- Do not contain malicious software
- May legally be used for the intended website or project
Delays in receiving required materials, approvals, credentials, or other client information may affect project schedules.
5. Client Content
Unless otherwise agreed in writing, the client remains responsible for content that the client provides for use on its website.
This may include:
- Text
- Photographs
- Logos
- Videos
- Graphics
- Product or service information
- Testimonials
- Other materials supplied by the client
The client represents that it has the necessary rights, licenses, and permissions to use materials it provides to Jia Web Services LLC.
6. Third-Party Services
Websites may use third-party products or services, including hosting providers, domain registrars, WordPress plugins, themes, payment services, email services, analytics tools, maps, social-media services, or other external technologies.
Third-party services are controlled by their respective providers and may be subject to separate terms, pricing, licenses, privacy policies, availability, and limitations.
Jia Web Services LLC is not responsible for changes, interruptions, security incidents, pricing changes, discontinued services, or failures caused by third-party providers.
Where appropriate, we may recommend third-party services to clients, but the client’s use of those services may be subject to a separate agreement between the client and the third-party provider.
7. Website Hosting and Domains
Unless specifically included in a written agreement, website hosting, domain registration, domain renewal, email hosting, premium plugins, premium themes, stock photography, third-party subscriptions, and similar recurring services are not automatically included in our website-development services.
Where a client purchases these services directly, the client is responsible for maintaining its accounts and payment information.
8. Payments
Fees for website-development services will be communicated to the client before work begins or as otherwise specified in the applicable proposal, invoice, or service agreement.
Unless otherwise agreed in writing:
- Payments are due according to the applicable invoice or project agreement.
- Additional work outside the agreed scope may result in additional charges.
- Work may be paused when required payments are overdue.
- Project timelines may be adjusted when payment or required client materials are delayed.
Specific payment, deposit, milestone, refund, and cancellation terms may be stated in the applicable client agreement.
9. Website Review and Approval
Clients are responsible for reviewing website content, design, functionality, links, contact information, and other materials before approving a website for publication.
Once a client approves a website or deliverable, Jia Web Services LLC may consider that portion of the work accepted, subject to any applicable terms in the client’s project agreement.
Clients should promptly notify us of any errors or requested corrections.
10. Intellectual Property
Unless otherwise agreed in writing, Jia Web Services LLC retains ownership of its pre-existing materials, proprietary processes, templates, tools, systems, code libraries, design resources, and other materials developed independently of a specific client project.
Client-provided materials remain the property of the client or their respective owners.
Ownership or licensing of the final website, custom code, graphics, designs, content, and other project deliverables will be determined by the applicable client agreement.
Third-party themes, plugins, fonts, stock images, software, and other licensed materials remain subject to their respective licenses and terms.
11. Portfolio and Marketing Use
Unless otherwise agreed in writing, Jia Web Services LLC may identify a completed client website as part of its professional portfolio and may display a link or screenshot of the completed work for promotional purposes.
If a client does not want its website or business name displayed in our portfolio, the client may request otherwise in writing.
12. Website Maintenance and Updates
Unless maintenance is specifically included in a client’s service agreement, ongoing website maintenance is not automatically included after a project is completed.
WordPress, themes, plugins, hosting environments, browsers, and third-party services may change over time.
Updates or changes made after project completion may require additional services or fees.
